Notice of EGM

Notice is hereby given that an Extraordinary General Meeting of Aviation Heritage UK will be held at the Royal Air Force Museum, Grahame Park Way, Hendon, London NW9 5LL on Saturday 6th July 2024 at 1:30pm to consider the following proposed changes to the Company’s Memorandum & Articles of Association:

  1. To authorise the Executive Committee to consider converting AHUK from a Company Limited by Guarantee into a Registered Charity and, if it is satisfied that such a conversion is in the interests of the Company, to proceed with an application to the Charity Commission;
  2. To insert the following clauses in Article 4 (Objects):

4.1. To promote the public knowledge and understanding of, and advance education in, aviation heritage in the UK.

4.2. To promote and support the preservation, conservation and restoration of aviation heritage and associated materials for the public benefit.

4.3. To support museums, organisations and collections engaged for the public benefit in the preservation, conservation and restoration of all manner of aircraft and their systems, aviation buildings and sites, archives and records pertaining to heritage aviation.

  1. To insert in Article 5 (Powers):

5.12 To represent the interests of the membership of Aviation Heritage UK and the heritage aviation sector as a whole to local, national and international governments and regulators, and to make representations on behalf of the members and the sector in matters such as legislation and planning.

The reason for making these proposed changes is to clear the way to make an application to the Charity Commission in due course to register Aviation Heritage UK as a charity.

  1. The current Memorandum and Articles were written on the basis that the organisation would become a registered charity, but that course was never pursued, and Aviation Heritage UK was registered as a Company Limited by Guarantee:
  2. The proposed clauses in Article 4 establish Charitable Objects for AHUK, the current Article 4 being blank;
  3. The proposed additional clause in Article 5 confirms the power of AHUK to act on behalf of its members and the heritage aviation sector as a whole in matters of public interest.
